Apax Partners Acquires Software Giants Epicor, Activant For Clos

My understanding of the lawfirm is that they are fishing for business. Doesn't state that anyone is questioning the acquisition.

The last line of the article says "This release may be deemed to constitute attorney advertising."

The entire article comes off as an advertisement for attention.

which contains,

"In light of (1) the low premium to the pre-announcement trading price
of Epicor, and (2) the acquisition of the company by a financial
acquirer that is likely to retain incumbent management on terms
substantially more favorable than existing employment arrangements,
our investigation concerns whether the company's board of directors
conducted an adequate and independent process to achieve the maximum
sale price reasonably available for the company."

An anonymous Epicor source said, "The agreement is working as
designed" and asked Wohl-Fruchter to upload their agreement. After a
few weeks, the Epicor source said that there was no trouble with the
agreement on their side and they were the only people with the issue.
After pushing for more information over several more weeks the source
said, "Wohl-Fruchter will have to upgrade to 9.06.704C and OpenEdge
OE102DHF38 to get an upgraded working agreement."
