I am not seeing many reasons for us to upgrade other than REST and stay on the latest and greatest. Not that this is a bad thing.
Am I missing any other reasons why we should upgrade? new features?
Should I just recommend to install the latest service pack release we are on 10.1.400.28.
We use APM and Customer Portal will moving to 10.2 break these integrations (force us to go with DocStar)

If you haven’t done so already, I would recommend installing 10.2.100.x and enabling Embedded Education to get access to the big changes for Financial, Manufacturing and Supply Chain, and Tools. We provide the highlights for each area and that should help you build a case for upgrading if there is something listed that your company would benefit from.
PROS TO MOVING TO 10.2 (from a Technology Support analyst’s perspective):
EDD (Epicor Data Discovery) is new in E10.2.100 and it’s our built into the product BI solution. If you haven’t seen a demo of it, I would recommend it to determine if your company may benefit.
REST (you mentioned this).
Company-level timezone adjustments. This is the big feature for my team in 10.2.100. This isn’t one of those flashy improvements, but if you have users in multiple time zones, this is a game changer.
Benefit from all of those development hours we spent improving the product between 10.1.400 and 10.2.100.x.
CONS TO STAYING ON 10.1.400.x (from a Technology Support analyst’s perspective):
10.1.400.38 is the last planned point update for 10.1.400. If there is a new issue discovered in 10.1.400.x at this point it will very likely only be addressed in a later release that is still receiving updates such as 10.1.500, 10.1.600, or 10.2.100.
The new ‘Active Home Page’ e.g. - Role based KPIs on the home page - are a subset of EDD. That is in the box. I honestly have not heard the final marketing decision on how they are segmenting ‘EDD Full’ versus the in the box abilities.
Another big win for me - DB Management scripts as a part of Solution Workbench. It’s been a pain to roll out changes from dev to test to live when you have db changes. Not anymore, its a part of the SW solution.
I saw on a recorded webinar that I just watched that said out of the box only works on system BAQ’s and paid license opens up the use of custom BAQ’s. That was from a what’s new in 10.2 back before cloud release. I’m hoping it doesn’t price us out of using it, because we are trying like hell to get management to use more KPI’s but the cost of software is hampering our ability to utilize this cool stuff.

You will run into license challenges at some point but for much of the stuff, hopefully it’s reasonably to do. I am working on some secret sauce plumbing to make some nice improvements you WILL want in the core product though. Active Home Page has a tenth of the features we wanted. A lot more will be getting funneled into that area and around it. Actionable KPIs are just table stakes these days.
